Please read these Terms and Conditions (“Terms”) carefully before using the Gurrom Flow messaging platform (“Service”) operated by Gurrom (Pty) Ltd (“Gurrom”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Gurrom Flow is a cloud-based messaging platform that enables registered users to send SMS messages through our infrastructure to recipients within South Africa and internationally where supported. The Service is accessed via our web application at app.flow.gurrom.co.za and through our API.

2. Eligibility

To use the Service, you must:

Be at least 18 years of age;
Be a natural person or a duly authorised representative of a legal entity registered in South Africa or another recognised jurisdiction;
Provide accurate, current, and complete registration information; and
Comply with all applicable South African laws and regulations, including but not limited to the Electronic Communications Act 36 of 2005 and WASPA’s Code of Conduct.

3. Account Registration and Security

3.1 You are responsible for maintaining the confidentiality of your account credentials. You must not share your password or Account ID with any third party.

3.2 You are responsible for all activities that occur under your account. You must notify us immediately at support@gurrom.co.za if you suspect any unauthorised use of your account.

3.3 We reserve the right to suspend or terminate accounts where we reasonably suspect a breach of security or these Terms.

4. Trial Accounts

4.1 New registrations are allocated 20 free trial credits for testing purposes only. Trial credits may not be purchased, transferred, or exchanged for cash.

4.2 During the trial period, SMS messages may only be sent to the mobile number registered on your account. This restriction is lifted upon successful completion of a paid credit purchase.

4.3 Gurrom Flow is not a free service. Trial credits are provided solely to allow prospective customers to evaluate the Service. Continued use requires the purchase of credits.

4.4 Trial accounts that remain inactive for a period of 90 days may be suspended or deleted at our discretion.

5. Credits, Pricing, and Payment

5.1 SMS credits are sold in advance and are non-refundable unless required by applicable South African consumer protection law.

5.2 Credit pricing is displayed on the platform prior to purchase and is subject to change. Any price change will not affect credits already purchased.

5.3 All prices are quoted in South African Rand (ZAR) and are inclusive of VAT at the applicable rate unless otherwise stated.

5.4 Payment is processed through Payfast, a third-party payment gateway. By making a payment, you also agree to Payfast’s terms of service.

5.5 Credits are consumed per SMS message. The number of credits deducted per message depends on message length and the destination network. Long messages exceeding 160 characters may be charged as multiple message parts.

5.6 Credits do not expire, but accounts that remain inactive for 24 consecutive months may be deactivated and unused credits forfeited, with 30 days’ written notice to the registered email address.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

Send unsolicited commercial communications (spam) without the prior, verifiable consent of recipients;
Transmit content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable;
Impersonate any person or entity or misrepresent your affiliation with any person or entity;
Send messages that violate the Consumer Protection Act 68 of 2008 or any applicable direct marketing regulations;
Circumvent, disable, or otherwise interfere with security-related features of the Service;
Attempt to probe, scan, or test the vulnerability of any Gurrom system or network;
Harvest, collect, or store personal information of other users without their explicit consent; or
Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service.

7. WASPA Code of Conduct

The Service operates within the South African messaging ecosystem, which is regulated by the Wireless Application Service Providers’ Association (WASPA). As a user of the Service, you agree to:

Comply with the WASPA Code of Conduct in its current version;
Obtain the necessary opt-in consents from all message recipients before sending commercial, promotional, or marketing SMS communications;
Honour all opt-out requests from recipients promptly and in compliance with WASPA guidelines; and
Maintain records of recipient consent for audit purposes.

Gurrom reserves the right to suspend any account that, in our sole judgement, is in violation of the WASPA Code of Conduct or has generated a significant number of complaints from message recipients.

8. Affiliate Programme

8.1 Gurrom Flow operates a voluntary affiliate programme whereby registered users may earn credits and cash commissions by referring new customers to the Service.

8.2 Signup credits are awarded at the rates published on the platform at the time of the referral. Cash commissions accrue on the gross value of credit purchases made by referred customers and are settled at Gurrom’s discretion, subject to a minimum threshold that will be communicated to participants.

8.3 Gurrom reserves the right to modify or discontinue the affiliate programme at any time, with reasonable notice provided to active participants.

8.4 Fraudulent referrals or self-referrals will result in forfeiture of all accrued credits and commissions and may lead to account termination.

9. Intellectual Property

9.1 The Service, including its software, design, logos, trademarks, and content, is owned by Gurrom (Pty) Ltd and is protected by applicable South African and international intellectual property laws.

9.2 You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business or personal purposes in accordance with these Terms.

9.3 You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.

10. Privacy and Data Protection (POPIA)

10.1 Gurrom processes your personal information in accordance with the Protection of Personal Information Act 4 of 2013 (“POPIA”) and our Privacy Policy.

10.2 By registering for the Service, you consent to the processing of your personal information as described in our Privacy Policy.

10.3 You are the responsible party for any personal information belonging to your message recipients that you process through the Service. You warrant that you have the lawful authority to process such information and to communicate with recipients via SMS.

10.4 You may request access to, correction of, or deletion of your personal information by contacting us at support@gurrom.co.za.

11. Service Availability and Limitations

11.1 We endeavour to provide the Service on a continuous basis but cannot guarantee uninterrupted, error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our reasonable control.

11.2 SMS delivery is subject to the availability and performance of third-party mobile networks. Gurrom does not guarantee the delivery of any specific message and shall not be liable for failed or delayed deliveries caused by network conditions.

11.3 We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with reasonable advance notice where practicable.

12. Limitation of Liability

12.1 To the maximum extent permitted by applicable South African law, Gurrom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service.

12.2 Gurrom’s total aggregate liability to you in respect of any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Gurrom in the three (3) months immediately preceding the event giving rise to the claim.

12.3 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gurrom (Pty) Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

14.1 You may close your account at any time by contacting us at support@gurrom.co.za. Unused credits are non-refundable upon voluntary closure.

14.2 We may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms or if we are required to do so by law.

14.3 Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall so survive.

15. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 14 days’ notice of material changes by email to your registered address or by prominent notice on the platform. Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

16.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts, without prejudice to your rights as a consumer under the Consumer Protection Act.

16.3 Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
